#2 Mr. Thomas C. Campbell 5-25-53 The enclosed draft Is the final draft agreed upon by Mr. Renwick and myself. I am advised by Mr. Renwick that the enclosed draft of the agreement has been approved by the President of Union Pacific and that it is not anticipated that any further substantial changes will be made in the agreement by Union Pacific. The agreement is, however, subject to further recommendations by the directors of the District or by Mr. McNamee. Mr. Renwick further advises me that his office is going ahead to cut the stencils for the final agreement on the basis of the enclosed draft. Accordingly, if no further changes are recommended by the directors or by Mr. McNamee, it would appear that the contract could be executed by both parties in the very near future. In the event that changes are made by the directors or Mr. McNamee, the stencils prepared by Union Pacific will be revised to reflect such changes. It would be appreciated if you would give the enclosed draft of the agreement such circulation as you deem necessary. Kindly advise me of any recommended changes at the earliest possible opportunity, so that I may discuss the same with the Union Pacific representative. Very truly yours, O'MELVENY & MYERS B y Franklin T. Hamilton FTH:gv E n d s . AIRMAIL SPECIAL DELIVERY cc: Mr. Edward C. Renwick Mr. James M. Montgomery Mr. Leo A. McNamee
