    DRAFT MAR. 16, 1953 ECR:MSB THIS AGREEMENT, made this _day of _, 1953, by LOS ANGELES & SALT LAKE RAILROAD COMPANY, and its lessee, UNION PACIFIC RAILROAD COMPANY, Utah corporations, LAS VEGAS LAND AND WATER COMPANY, a Nevada corporation (hereinafter colleotively called "First Parties ), and LAS VEGAS VALLEY WATER DISTRICT, created and existing pursuant to the provisions of Chapter 167 of the 1947 Statutes of Nevada as amended by Chapter 130 of the 1949 Stat utes of Nevada and as amended by Chapter 307 of the 1951 Statutes of Nevada, Second Party (hereinafter sometimes called District"). The District desires to purchase certain water-bearing lands and water production and transmission facilities now owned and operated by the Railroad Companies as non-utility facilities and the water distribution system now owned and operated by the Water Company as a public utility at Las Vegas, Nevada. ...Water Company is the owner of a franchise or permit granted by the Board of Commissioners of the City of Las Vegas, Nevada, for a term of fifty years from February 21, 1930, to install, lay down and maintain water pipe lines, water mains and all necessary and proper appliances used in connection therewith or appurtenant thereto in, through, under or across, under or along all of the streets, alleys, avenues and highways of the City of Las Vegas... ..except the water right reserved in the deed from Helen J. Stewart, et. al., to W. A.
