    of sale need not be submitted to the Commission for its approval and it is not necessary to obtain authority from the Commission for the transfer of the properties specified in the contract* Moreover, it is not necessary for the Water District to procure a Certificate. It is my opinion that the Las Vegas Land and Water \ Company should nevertheless submit an application to the Commission for permission to discontinue service in the City of Las Vegas contingent upon and effective as of the date of assumption of service by the Las Vegas Valley W^ter \ District. I have discussed this with Mr. Scott and I am assured that such a petition could be granted after twenty days* notice upon an e x parte hearing, and that the order of the commissibiT^aiithorizTng"~su'cTT'discontinuance could be framed on a conditional basis. You may recall that we obtained an order of this type in connection with the transfer of certain properties of Interstate Transit Lines to the Greyhound Corporation. I concur with the opinion expressed by you in the third paragraph of your letter to the effect that the first parties to the contract are relieved of any obligation under Section 12 of the contract and that the sale may be consummated without the approval of the Public Service Commission* However, the Water Company should protect itself from the standpoint of discontinuing service by obtaining authority therefor on an ex parte basis, and X am confident that such authority would be granted.
