1 1 THIS AGREEMENT, made this day of 2 1953, by LOS ANGELES & SALT LAKE RAILROAD COMPANY and its lessee, 3 UNION PACIFIC RAILROAD COMPANY, Utah corporations, LAS VEGAS LAND 4 AND WATER COMPANY, a Nevada corporation (hereinafter collectively 5 called "First Parties"), and LAS VEGAS VALLEY WATER DISTRICT, a 6 public corporation created and existing pursuant to the provisions 7 of Chapter 167 of the 19^7 Statutes of Nevada as amended by Chapter 3 130 of the 19^9 Statutes of Nevada and as amended by Chapter 307 of 9 the 1951 Statutes of Nevada, Second Party (hereinafter sometimes 10 called "District"). 11 RECITALS 12 Los Angeles & Salt Lake Railroad Company is hereinafter 13 sometimes called "Salt Lake Company"; Union Pacific Railroad Com- 14 pany is the lessee and in possession of all of the properties of 15 ^he Salt Lake Company and is hereinafter sometimes called "Union 16 Pacific ; said two railroad companies are collectively sometimes 17 hereinafter called "Railroad Companies"; and Las Vegas Land and 18 Water Company is hereinafter sometimes called "Water Company". 19 References herein to the property or accounts of the Wa- 20 ter Company are limited solely to its property or accounts const!- 21 tuting the water distribution system operated and maintained by the 22 water department of the Water Company for the distribution of water 23 as a public utility at Las Vegas, Nevada. 24 The District desires to purchase certain water-bearing 25 lands, water rights and water production, storage and transmission 26 facilities owned and operated by the Railroad Companies as non-util- 27 28 1.
