SHERWOOD, Secretary of Los Angeles & Salt Lake Railroad Company, do hereby certify that the above and foregoing is a true copy of Section 1 of Article III of the By-Laws of Los Angeles & Salt Lake Railroad Company now in force and effect.; And I do further certify that at the time of the adoption of the foregoing resolution the Board of Directors was not in session; and that no directions had been given by the Board of Directors concerning the subject matter thereof.
