Rouse Please refer to your letter of August 2S, 1952, your file 199* in which you ask for my comments on the offer made by Las Vegas Valley Water District for the purchase of our water producing and distributing facilities at Las Vegas, Nevada. In connection with paragraphs (c) and (d), Mr. Reinhardt and I, subsequent to the meeting with Thomas Campbell and some other members of the Water District Board at Los Angeles, discussed a modification of these two paragraphs in such a way as to assure ourselves that these easements for the pipe lines and the power lines would eventually be removed from our property. Mr. Bennett was to draft a proposal to submit to the Water District and I assume that this has probably been accomplished. In regard to paragraph (e), the Water District has fixed the cut-off date as of Sept. 1, 1952. It was our under­standing with the District people that the advances made by the sub-dividers would be deducted from the offered price. I do not know whether or not this feature should be covered in the agree­ment, but in any event I believe Mr. Sutton should be asked to advise us the actual amount in this fund as of Sept. 1, 1952.
