In accordance with Mr. Conway's alternative recommendation Union Pacific has prepared a suggested draft of an agreement providing for the assignment of said receivables for collection only. I have examined said suggested agreement and find it in order. Enclosed herewith is a photostatic copy of Mr. Renwlck's letter of June 8, 1954, together with the suggested form of agreement. If the Board of Directors of the District so desire we see no reason why the suggested agreement should not be entered into by the District.
