Campbell President Las Vegas Valley Water District 135 South Fourth Street Las Vegas, Nevada Dear Mr. Campbell: In a letter of June 3, 1954, Mr. Conway advised me that it was his recommendation that the District not take an assignment of certain receivables of the Las Vegas Land and Water Company in connection with rates or charges for air conditioning and similar equipment. Mr. Conway suggested that as an alternative the District accept an assignment of these receivables for the purpose of collection only. Said collections would be reported to and transmitted to the sellers every thirty days until liquidated. I advised Union Pacific of Mr. Conway* 1s recommendation and that it was the District's intention to follow Mr. Conway's recommendation. In accordance with Mr. Conway's alternative recommendation Union Pacific has prepared a suggested draft of an agreement providing for the assignment of said receivables for collection only. I have examined said suggested agreement and find it in order. Enclosed herewith is a photostatic copy of Mr. Renwick's letter of June 8, 1954, together with the suggested form of agreement. If the Board of Directors of the District so desire we see no reason why the suggested agreement should not be entered into by the District. Would you kindly advise Mr. Bennett if the Board of Directors are willing to authorize said agreement Yours very truly, O'MELVENY & MYERS FTH:GB By — Enel. CC - Mr. E. E. Bennett Mr. Nelson Conway
