Xu the event the electors* in the District vote to authorise the District to issue and sell Its bonds, and the District is able to sell its bonds, for the purchase of the above mentioned properties and the construction of other eater transmission and distribution facili­ties by the District, First Parties are willing to obligate them­selves to sell their respective properties above.mentioned to the District upon the terms and conditions hereinafter stated. Certain of the said non-utility water production and transmission facilities consisting of pipe lines and power lines are located upon property of the Railroad Companies which will not be acquired by the District. If certain of said existing pipe lines and power lines were to remain in their present location up­on said property of the Railroad Companies which is not to be ac­quired by the District, the existence of said pipe lines and pole lines would substantially diminish the market value of the lands of the Railroad Companies in the vicinity of said pipe lines and power lines. The parties agree that it would be impracticable or extreme ly difficult to determine the amount of the diminution in the mar­ket value of the said lands of the Railroad Companies which would result from the continued maintenance of said pip® lines and power line® in their existing location upon the said properties of the Railroad Companies which are not to be acquired by the District, Accordingly it is the Intention of the Railroad Companies and the District to have said pipe lines said power lines removed from or relocated upon the property of the Railroad Companies and a
