PRINCIPLES AND PURPOSES
"Operation Opportunities - Clark County*1 Board
1.
The Board will serve as the organization for planning and coordinating proposal screening and funding for the various Economic Opportunity Programs in Clark County. It will serve in a non-operational capacity, directing its efforts toward the development of programs in new, adapted and existing agencies or organizations. While serving in this capacity, the Board will maintain an open-door policy toward all program proposals submitted by these agencies and organizations.

The Board will call upon and encourage local agencies and organizations to utilize the technical services which will be made available by the State and Federal agencies and departments. Whenever feasible, the Board will also provide such technical, professional and citizen leadership services to local agencies and organizations. It will make available to all local agencies all available information for project development and staff services which can be provided by existing services.

Wherever possible, the Board will encourage and facilitate the coordination of agencies and of fields of interest and geographical areas between agencies. The board will facilitate the utilization of the energies and abilities of those citizens who are involved in combating poverty through local action and in the planning and evaluation of Economic Opportunity programs. It will encourage and facilitate the maximum efficient utilization of public and voluntary funds expended for Economic Opportunity programs.

The Board will establish and conduct such evaluation programs as are deemed appropriate for the operation of the Economic Opportunity programs. It will provide through contract such planning and research programs as will further the realization of the Economic Opportunity programs. Pursuant to this, it will make such reports as are required by both state and federal arms of the Economic Opportunity Administration; it will also require such reports from local operations when these are deemed appropriate.

The Board will maintain a strict accounting of all the funds received and expended and will provide the constituent bodies and the general public with reports of its fiscal operations. The Board will provide such staff and citizenship leadership training through available funds as is deemed practical.

The Board will formulate long-range Economic Opportunity program plans to meet the present and future needs of Clark County and will exert every effort to implement their realization.

PLANS FOR INCLUSION ON ECONOMIC OPPORTUNITIES BOARD OF MORE INDIVIDUALS WHO ARE POTENTIAL RECIPIENTS OF ECONOMIC OPPORTUNITY PROGRAMS
Thirty-six out of the forty positions on the Economic Opportunities Board have been appointed.
4 of these are Mayors of the 4 incorporated cities in Clark County;
17 are from the major human service agencies;
2 are from political bodies (County Commission and the State Senate);
7 represent business or professional interests in the community at large.
6 are from the Westside of Las Vegas (the priority target area).
The target area representation includes a physician, a lawyer, a principal, a librarian, a school teacher, a school attendance officer — all individuals have been involved in planning for the area's needs for the past year and a half through "Operation Independence."
In connection with "Operation Independence", there is a large Planning Board whose membership is primarily drawn from the Westside and includes individuals from many economic strata.
Invitations to serve on the county-wide Economic Opportunities Board will be extended to several of these members who will be direct recipients of services rendered through Economic Opportunity programs.

RULE - SUPERVISION
I
(K-8 schools only). If working parents can provide adequate supervision for their child ONLY in another district, that child may be released to attend in that district.
The name and address of the supervising person must be specified and the address certified to be within the boundaries of said school district.
A. At the beginning of the school year, the persons having charge of the child certify that they own or will own (money must be in escrow) and will occupy within the first semester of the school year, a residence in the district specified.

I appreciate the invitation and will accept the appointment. Unfortunately, there is a conflict for me in regard to your meeting on December 3. I am scheduled to leave for Minneapolis to participate in the annual meeting of the State Directors of Vocational Education and will be gone during the period of December 3 to December 9. I shall endeavor to have one of our Supervisors in the Vocational, Technical and Adult Education Division represent me and will plan to brief him on activities of the Division which may have implications for your Board.
At the present time we are writing a State Plan to take advantage of the Basic Adult Education program provided for in Title II, Part B, of the Economic Opportunity Act of 1964. Our State Plan for Vocational Education, that would allow us to take advantage of the Vocational Education Act of 1963, has been completed and substantially approved. We hope funds will be forthcoming from the Office of Education in the near future. We are planning to employ a Supervisor of Basic Adult Education who should report the 21st of this month. I feel the coordination of our activities with your Economic Opportunities Board can be beneficial to Clark County as well as to our Division.
I shall endeavor to eliminate any conflicts for future meetings.

This material includes: Principles of the Board; Guide to Community Action Program Grants; Minutes of the Meetings of the Economic Opportunities Board; Projects already under consideration — Neighborhood Youth Corps — Volunteers in Service to America (VISTA) — and a Day Care Services Center. RESIGNATION FROM BOARD MEMBERSHIP
As you know, Harvey, I have been unable to attend meetings of the Clark County Economic Opportunity Board since early March thus have made no contribution as a Board member for nearly half a year.
Moreover, effective 1 July 1965, I was appointed as the Welfare Division's Chief of Special Projects, i. e., I am coordinating programs under Title V Economic Opportunity Act, my salary being wholly paid from EOA funds. Of course, this assignment means that I shall soon be very active in Clark County, with a Work Experience Program budgeted at $1.3 million. Being both a program executive and a Board member under the Act might raise a question of conflict of interest.
In view of these and other related facts, Elaine Walbroek herself has broached the question of my resignation. Resigning is never a totally painless step. However, in this instance, the pain is mitigated by my knowledge that I can join the Board even more effectively now in combating poverty in Clark County.
I have greatly enjoyed my membership on the Clark County Economic Opportunity Board. Please accept my resignation in the spirit in which it is offered.

RESIGNATION FROM BOARD MEMBERSHIP
As you know, Harvey, I have been unable to attend meetings of the Clark County Economic Opportunity Board since early March thus have made no contribution as a Board member for nearly half a year.
Moreover, effective 1 July 1965, I was appointed as the Welfare Division's Chief of Special Projects, i. e., I am coordinating programs under Title V Economic Opportunity Act, my salary being wholly paid from EOA funds. Of course, this assignment means that I shall soon be very active in Clark County, with a Work Experience Program budgeted at $1.3 million. Being both a program executive and a Board member under the Act might raise a question of conflict of interest.
In view of these and other related facts, Elaine Walbroek herself has broached the question of my resignation. Resigning is never a totally painless step. However, in this instance, the pain is mitigated by my knowledge that I can join the Board even more effectively now in combating poverty in Clark County.
I have greatly enjoyed my membership on the Clark County Economic Opportunity Board. Please accept my resignation in the spirit in which it is offered.

ECONOMIC OPPORTUNITY BOARD OF CLARK COUNTY
Personnel Policies and Practices
July 29, 1965
1.
Recruitment
The Executive Director shall employ.al I professional staff for approved positions subject to the approval of the Board Chairman. The Executive Director shall employ all clerical staff. Hiring of staff positions for any specific project shall be the responsibility of the Project Director subject to approval of the Executive Director. It is the policy of the Economic Opportunity Board to place all openings with the Nevada State Employment Service and any public media necessary to recruit for staff vacancies. All recruitment and placement will be with no restrictions as to race, color, creed, or national origin.
2.
Hours of Work
Normal office hours are from 8:30 A.M. until 5:30 P.M. with one hour for lunch. Monday through Friday, for a 37| hour week, a rest period of I5 minutes each morning and afternoon shall be allowed. Excessive absence and tardiness is considered misconduct and reason for termination.
3.
Annual Leave
Annual leave shall be accrued at a rate of I? days per month; from the date of employment. It cannot be taken until employed a minimum of six months. Leave must be requested two weeks in advance and can be accumulated up to 30 days.
4.
Sick Leave
Sick leave shall be accrued at a rate of l£ days per month from the date of employment and can be used at anytime after employed. Accumulated sick leave will not be paid at termination of employment.
5.
Leave Without Pay
Leave without pay can be authorized by the Executive Director and shall not exceed 30 days. Leave without pay shall not earn annual and sick leave.
6.
Jury Duty
Any employee assigned jury duty can be paid regular salary less the amount earned for jury duty at the discretion of the Executive Director.

7.
Holi days
The following regular holidays will be observed:
New Year's Day Nevada Day
Memorial Day Veteran's Day
Independence Day Thanksgiving Day
Labor Day Christmas
Appropriate arrangements to enable employees to observe religious holidays and time to vote shall be at the discretion of the Executive Director.
8.
Pay Periods
Payroll checks shall be issued on the 15th and the last day of the month. Should these dates fall upon a week end or a holiday, they shall be issued the previous day.
9.
Salary Review
Each staff position shall be reviewed for salary increase prior to submission of each new budget. Salary increases of Economic Opportunity staff shall be approved by the Board of Directors.
10.
Overtime
Paid overtime or compensating time shall be allowed on a regular time basis and must be approved in advance by the Executive Director. Overtime hours shall be recorded perferably as compensating time to be granted in lieu of such payment to be taken at the discretion of the Executive Director.
Compensating time must be used within 60 days after earned.
I I . Termination
Resignation by an employee shall require a two-week notice in writing to be eligible for payment of accrued annual leave. Waiver of required notice can be made by the Executive Director. Dismissal of regular employees shall require two-weeks pay in lieu of notice. In case of dismissal for proved reasons of serious or willful misconduct, employees may be terminated without notice by the Executive Director. Temporary employees or employees employed less than six months may be dismissed without notice for good cause by the Executive Director or Project director subject to the approval of the Executive Director.
12.
Travel
Authorized travel shall be at a rate of 10<J a mile for private auto for incounty travel. Per diem for out-of-area travel status shall be at a rate of $16 per day payable in quarter payment on £ day basis. All reimbursable expenses shall be kept at a minimum so as not to exceed the amount allocated in the budget. They must conform with Government Travel Regulations.

Group Health Insurance
Employees may participate at their option in a joint health insurance program the cost of which shall be shared equally by the Economic Opportunity Board and the employee.
14.
Workman's Compensation
Coverage is provided for all employees by the Economic Opportunity Board through the Nevada Industrial Commission.
15.
Social Security
The Economic Opportunity Board comes under the regulation set forth by the Federal Social Security Act. Costs are shared by the Economic Opportunity Board and the employee.
16.
Withholding Tax
The federal income tax (withholding) will be deducted from salary based on
the withholding exemption certificate signed when employed.
17.
Unemployment Insurance
Unemployment Insurance shall be provided by the Economic Opportunity Board for all employees only if so provided for in the project budget.
18.
Expenses
Purchase of any equipment, supplies, services or any other cash outlay must be approved by the Executive Director delegated staff member and be within the amount allocated for that budget item.
19.
Inasmuch as al I projects are of short duration, no permanent status for personnel can be achieved; however, it is recognized that any contract of employment for six months duration or longer shall make employees elegible for fringe benefits.

It is with regret that I must submit my resignation as a member of the Economic Opportunity Board of Directors.
I find that I have assumed a greater number of responsibilities to community and social organization service than I have the time or physical capacity to adequately discharge. It is my feeling that when such a condition develops, it is not fair to any service organization for a person to assume a service responsibility to that organization that is not adequately performed. The work of the Economic Opportunity Board of Directors is of such critical and immediate importance to our community that it dare not be eroded by less than a full time and energy application on the part of any member of the Board.
I have enjoyed serving as a member of the Board of Directors and hope to continue an active interest in the activities of the Economic Opportunity organization.

Th® meting was called to order by the Chairman, Ted Lawson.
Them was discussion on length of term of Officers and Standing Committees. It was motioned by Charles Spann and seconded by Father Shallow that the composition of the Nominating Committee be established as beginning with the fiscal year, July I, 1966.
Father Shallow stated, In discussion, that as a general rule It seemed best to have the First Vice Chairman move up to Chairman end th® Second Vico Chai naan to moves ud to First Vic® Chairmen: however felt that other officers moving up might be cumbersome. In discussion, members felt that possibly the positions of Secretary and Treasurer should retain the same members oven after a two-year period. There was discussion on method of balloting for Officers. .According to th® By-Laws, Mrs. Walbreak advised that this must be by secret ballot; however, Mr, Lawson advised that If there were no nominations from th® floor s whit® ballot would be cast » Committee members felt Mr. Dondero should remain as a member of the Executive Committee; accordingly a telephone call was made to him asking if ho would wish to do so. Mr. Dondero stated that he would. Mrs. Walbresk advised members that a vacancy should be loft on the Executive Committee to allow for seating a representative of the Neighborhood Councils. Recommendations were that Father Shallow serve as Second Vice Chairmen, and that Ted Lawson serve as a member. Mrs. WeIbrook recommended that It might bo well to include Mr. McPherson from th® City of Las Vegas on the Executive Committee so that there might he liaison between th® Board and Mayor Gragson and the City. Father Shallow rocom- mehded that this be kept In mind for future consideration.

Dear Mr. Dondero:
The Special Committee appointed by you and consisting of Mr. Don Hampton, Mr. Vernon Bunker, and the writer, as chairman, held a meeting on Wednesday, May 4, for the purpose of reviewing the present make up of the Board of Trustees and to submit recommendations whereby this Board would be able to perform its functions more efficiently.
It was the unanimous opinion of this Committee that the Board which recently had as many as 37 members and currently reduced to 32 members because of resignations or being dropped due to nonattendance is cumbersome and unwieldy and many times unable to carry out its functions due to lack of a quorum.
We are submitting herewith for action before the Board proposed amendments to the Bylaws from which you will note the number of members on the Board shall be no more than 16, excluding the Chairman.
In explanation of our recommendation to reduce the Board to 16 members, our thinking was that there should necessarily be representatives of Clark County, each of the cities of Clark County, and the Clark County School District; all of which are identified as elected public officials. To offset the foregoing representation, there should be five (5) representatives of the target areas. To balance the two groups, there should be five (5) representatives of private agencies, labor, and religious groups. Finally, the Chairman should be in a position to cast a tie-breaking vote.
It is our thought that the Board can be reduced in due time to conform with the proposed change in the Bylaws through either the process of normal expiration' of a Board member's term or through attrition by reason of nonattendance.

Mr. Karl Marshall, " since November, 1965;

PROPOSED AMENDMENTS TO BYLAWS OF ECONOMIC OPPORTUNITY BOARD OF CLARK COUNTY
It is proposed that Article III (Trusteeship) of the Bylaws be amended as follows:
SECTION 1:
The Board of Trustees shall be comprised of representatives of the people of Clark County. The membership of the Board shall be limited to interested and civic-minded American citizens having a minimum of two (2) years residency of Clark County. The Board, in addition to the Chairman, shall number no more than sixteen (16) and shall be unequivocally made up as follows:
GROUP 1: The Chairman of the Board of County Commissioners or his selected representative. (Total one (1) member) .
The Mayors of the Cities of Las Vegas, North Las Vegas, Henderson., and Boulder City., or their appointed representatives (Total of this Group, four (4) members) .
A member of the Board of Trustees of the Clark County School District, or their appointed representative (Total, one (1) member)
GROUP 2: Representatives of private agencies, labor and religious groups, whose interest shall primarily be directed to the problems of the so-called various target areas of Clark County and who are individually sympathetic to the anti-poverty programs of the Office of Economic Opportunity. The Trustees representative of this group shall not be more than five (5) .
GROUP 3: There shall be established in the target areas of

Clark County several Neighborhood Councils. These Neighborhood Councils shall be represented on the Board by recommended delegates who are to be styled Trustees upon acceptance by the Board on the basis of the following ratios:
Three (3) Trustees representing the Neighborhood Councils of West Las Vegas,
One (1) Trustee representing the Neighborhood Councils of North Las Vegas, and
One (1) Trustee representing the Neighborhood Councils of Henderson.
SECTION 2; If at the time of ratification of this amendment, the number of Trustees shall exceed that specified in Section 1 of Article III, the number of Trustees shall be automatically reduced as follows:
A.
By reason of expiration of a current Trustee's two year tenure or by,
B.
Absence from three (3) consecutive regular meetings.
ARTICLE IV, SECTION 1: TRUSTEES - NUMBER
The members of the Governing Body shall be styled Trustees and the make up and number of the Board of Trustees shall not exceed sixteen (16), not including the Chairman of the Board of Trustees.
SECTION 2:
APPOINTMENT OF TRUSTEES
The Governor of the State of Nevada shall appoint all Trustees of the Board of Trustees from names submitted by said Board, provided, however, that said appointments strictly comply with the formula set forth in Article III of these Bylaws. Each Trusteeship shall have a tenure of
two (2) years from date of appointment thereto unless there is removal

for cause by the Board of Trustees. A majority of Trustees voting at a a regularly called meeting shall be sufficient for a Trustees' selection by the Board. A two-thirds majority of Trustees present shall be required for Board reappointment immediately after one completed term or removal for cause.
SECTION 3:
REMOVAL FOR ABSENCE
Absence from three (3) consecutive regular meetings shall constitute cause for removal from the Board.
SECTION 4:
CONSECUTIVE TERMS
No more than two consecutive terms of two years each shall be served by Board Trustees except the Trustees who hold their membership by virtue of their representation of the following: The Mayors of the Cities of Las Vegas, North Las Vegas, Henderson, Boulder City, and the Chairman of the Board of County Commissioners, or their designated representatives whom the Trustees have approved and nominated to the
Board.

PERSONNEL COMMITTEE
At the meeting of the Executive Committee on February 20, it was recommended that a new Personnel Committee be appointed as was recommended by the previous Personnel Committee in July, . 1966, for the purpose of re-evaluating the personnel policies and practices and the pay schedule adopted by the Board in July, 1966.
This request was discussed by the Nominating Committee, and Mr. Ferren Bunker nominated the following persons to serve on the Personnel Committee:

Motion seconded by Mr. James Snowden and carried unanimously. These names are hereby submitted to the Executive Committee for ratification in accordance with provisions of Article VI, Section 6, of the By-Laws. The Chairman of the Board of Trustees is to designate the Chairman of the Personnel Committee as is provided by Article V, Section 3, of the By-Laws.

It was also pointed out that several groups of low-income persons have been contacted in regard to representation on the Board to comply with provisions of CAP Memo 57 which require that not less than one-third of the membership consist of persons selected by low-inccme residents of the areas served by the programs. contacted include the Las Vegas Indian Colony, Clark County Senior Citizens Council, and the Parents Advisory Committee of the Day Care Centers. The Clark County Ministerial Association has also been contacted for membership in the private agency category.
After discussion of the individuals and groups concerned, Mr. Snowden moved, seconded by Mr. Bunker, that the above-listed names and the representatives to be named by the four groups be recommended to the Board for membership. Motion carried unanimously.
It was noted that appointment of these individuals would result in total membership of 36, while the Articles of Incorporation and By-Laws permit a maximum of 40.
Names of those persons nominated will be submitted to the Governor for appointment, upon approval by the Board, in accordance with Article IV, Section 2 of the By-Laws.
