Las Vegas, Nevada, December 4, 1941. Mr. I. 1. Bennetti #? ' I enclose herewith, for approval as to form, original, approval copy and two extra copies of Deed ' from Las Vegas Land and Water Company to Id, W. Clark, A. I. Cahlan and A. C, Grant, covering North Main Street 78,64 acres of land, the description of which was furnished to me by Mr. Charles Adams in his letter of December 3rd. You will notice that the Deed does not contain the words "grant, bargain and sell", but merely the words "grant and convey"; therefore this Deed conveys the land without the statutory covenants implied by the use of said words. The first three exceptions speak for themselves. In regard to exception Ho, 4, pertaining to easement for the flow of the water of Las Vegas Creek along its natural course, will say that I understand that some two or three years ago the natural course of the Creek across this land was changed by an artificial ditch which eliminated a swampy condition along the old Creek bottom. It may be that the purchasers will desire to have this artificial ditch eliminated, and If so, the water will then go down the natural course. I believe, however, that the purchasers will be more satisfied to let the Creek run along the artificial course, but in any event the Land and Water Company is protected. I do not have the dates of the easements mentioned in paragraphs 6 (a) and 6 (d). These two easements, as well as the license in 6 (c), have not been recorded, I believe Mr. Adams will have the dates and you can fill them in. Mr. Bracken and I have gone over the restrictions contained in paragraph 9, and particularly 9 (c), I also read that paragraph to Mr. Folger. After considering this restriction from all angles we decided upon the wording as set forth, in view of the fact that the contractors who are going to do the subdividing and building were in the office while Mr. Bracken was here, and it is understood that they will enter into our usual agreement pursuant to Rule 9 and Rule 9(a). enc.
