Community Relations/Events Allie Lakey, Associate Administrator CALL TO ORDER: Willis Russell, Acting Chairman, called the meeting to order at 4:20 p.m. It was announced that Irwin Molasky had been unavoidably detained and would not be present. APPROVAL OF MINUTES: The minutes, which had been mailed to all corporation members, were reviewed. Motion was made, seconded and approved as presented. 4141 S. Swenson Street ? Las Vegas, Nevada 89109 ? (702) 733-0320 Corporation Meeting Page Two 3/19/85 FINANCE REPORT: Buck Deadrich introduced Ed Cupit who presented copies of the 1984 audited statement. The report was reviewed and Mr. Cupit answered questions. The report was accepted as presented. ELECTION OF TRUSTEES: Dr. Russell presented the slate of trustees proposed by the Nominating Committee. The appointment is for an additional three year term. The remaining trustees are serving their terms of office and do not require reelection this year. The proposed trustees to be elected for an additional three-year term are: Donald Baepler Eli Boyer David Brandsness Sharon Brandsness Irwin Buchalter Don Digilio Jerome Mack The motion was made, seconded and carried to reelect the above trusteesfor an additional three-year term. HOSPITAL REPORT Rick Bennett highlighted some of the statistics on the attached fact sheet. HOME HEALTH REPORT Mr. Bennett highlighted home health activities, as noted on the attached fact sheet. VOLUNTEER REPORT Dee Powers, Director of the NAH Volunteer Program, discussed the volunteer program, citing some of the statistics as printed on the attached fact sheet. FOUNDATION REPORT Mr. Deadrich reported that the NAH Foundation was well organized and extremely active, having been instrumental in raising approximately $900,000 during 1984. He pointed with pride to the number of community leaders who were active in Foundation events. CORPORATE BYLAWS CHANGES Mr. Deadrich announced that the proposed bylaws changes would enable the hospice administration to more actively par-ticipate in the governing body. The proposed changes have Corporation Minutes 3/19/85 Page Three been mailed with an explanationto all trustees and corporation members A ballot detailing the proposed changes was part of the mailing. 2.8 Change would reduce a quorum requirement from "majority" to "seven" members of the corporation. Motion made, seconded and approved to amend bylaws as proposed. 3.5 Change would reduce the required frequency of Board of Trustees meetings from three per year to one per year. Motion made, seconded and approved to amend bylaws as proposed. 3.9 Change would reduce quorum requirement from ten members of the Board of Trustees to seven. Motion made, seconded and approved to amend bylaws as proposed. 5.1 Change would remove the restriction that only Trustees can serve on the Executive Committee. It provides for the Executive Administrator and Medical Director to be eligible to serve on the Executive Committee. Motion made, seconded and approved to amend bylaws as proposed. 5.2 Change expands the membershp of the Executive Committee to include the officers and at least two additional trustees < and the Executive' Administrator andMedical Director. Motion made, seconded and approved to amend bylaws as proposed. OTHER BUSINESS Mr. Deadrich stated that he would continue to reexamine all phases of hospice activities, both administrative as well as patient care, in an effort to make hospice more effective in the community. He stated that he was playing an active role in the formation of a Nevada Chapter of National Hospice Organization. A more formalized nursing orientation program is an immediate goal. Physician education to the benefits hospice care can be to his/her patients is an on-going priority. He recently reorganized the home health and inpatient nursing administration to permit Ms. Rosanski and Ms. Cionni time to contact physicians, explaining NAH to them. Since the construction and start-up debts are a reality, our goal is to average 47 admissions. As you can see, we are presently averaging one admission a day.
