Bennett, Esq. General Solicitor, Union Pacific Railroad Company 422 West Sixth Street Los Angeles 14, California Dear Mr. Bennett: We have received your letter of February 9 , 1954, concerning the proposed sewer easements which the City of Las Vegas desires to acquire over certain lands of the Las Vegas Land and Water Company, a portion of which lands are subject to the contract of sale between the Water Company and the Water District. In your letter you point out that Section 13 of the contract between Union Pacific and the Water District provides that no portion of the lands shall be sold, transferred or . encumbered "without the precedent approval of the District. You suggest that if the District is desirous of granting the sewer easements to the City of Las Vegas the District might either join in the easements to be executed by the railroad companies or might adopt a resolution approving the grant of the easements to the City of Las Vegas by the railroad companies. Insofar as the legal aspects of this transaction are concerned, it would appear that either method would be acceptable to the District. With respect to the granting of said easements to the City of Las Vegas, this is, of course, a matter which must be decided by the Board of Directors of the District. We presume that they will be guided in the matter by the recommendation of Mr. Montgomery as to whether the location of the proposed sewer easements may in any way interfere with the Water District's proposed construction program. Accordingly, we would recommend that the maps showing the location of the proposed easements be submitted to Mr. Montgomery for examination and recommendation.
