Upon exercise of option, Peirce Carpet, or its nominee, prior to delivery of deed, shall enter into agreement with Los Angeles & Salt Lake Railroad Company and its lessee, Union Pacifi Railroad Company, for construction, maintenance, operation and ownership of a spur track to serve the option parcel.
