    and
    THE NEVADA WOMEN^S HISTORY PROJEHT
    I. The Nevada Women's Fimd (NWF) raises money and resources
    to benefit the women and children of northern Nevada..
    It provides opportunities to women in education and
    community sponsored projects which meet women's needs,
    and it promotes the activities of those community
    organizations which share our goal of an improved world
    for Nevada's women and children.
    As a community-based, non-profit organization, NWF is
    committed to raising funds to provide direct help to
    women where conventional sources are limited or nonexistent
    .
    II. The Nevada Women^s History Pro-lect (NWHP) supports the
    gathering and the dissemination of history abput the
    roles and contributions of Nevada women of every race,
    class, and ethnic background.
    III. The two parties identified above agree that:
    A. The By-Laws for the Nevada Women's History Project
    shall be adopted by its own membership and the operating
    policies shall be adopted by its own governing
    boards according to its By-Laws; neither shall not be
    in conflict with the Nevada Women's Fund By-laws and
    Policies, (copies attached)
    B. The President/CEO or any other designated board
    member of the Nevada Women's Fund shall serve as liaison
    to the Nevada Women's History Project State Board
    of Directors and the rNcn-Mir ra. Regional Steering Committe&

    C. The Nevada Women's History Project shall obtain
    permission from the Nevada Women's Fund President/CEO
    before using the Nevada Women's Fund name for fund
    raising purposes.
    p. The Nevada Women's History Project Board shall
    indemnify the Nevada Women's Fund Board of Directors
    for liability resulting from any actions of NWHP.
    E. The Nevada Women's History Project will keep the
    Nevada Women's Fund advised of its activities and
    projects.
    F. Any staff and operating expenses for the Nevada
    Women's History Project shall be funded solely by that
    organization. Compensated staff shall be governed by
    the personnel policies of the Nevada Women's Fund (copy
    attached.)
    G. Assets, real and intellectual, that accrue to the
    Nevada Women's History Project, shall remain the property
    of that organization.
    IV. Cancellation Clause: This agreement may be terminated
    by either party with or without cause, upon thirty (3 0)
    days' written notice.

    Nevada Women's Fund mission statement and agrees to the provisions
    outlined above:
