    RESOLVED, That Calvin M> Cory, with office located at Room 208, at 114 North Third Street in the City of Las Vegas, County of Clark, State of Nevada, be and hereby is appointed Resident Agent for the State of Nevada of the above-named corpora­tion, and that the former designation of W. R. Bracken be and the same is hereby revoked. On motion duly seconded, it was RESOLVED, that the action of President and Asst. Secre­tary Bachman in executing agreement C.A. No. 10372, dated August 9, 1946, between LVL&WCo., Lessor, and Prigidaire Sales Corporation, Lessee, covering lease of parcel of land, 380* x 184.80’, together with one-story warehouse and office building (in size approximately 260’ x 171’) and approximately 22,176 sq. ft. of asphaltic paving in'parking area to be constructed thereon by Lessor, also an in­dustry track 364 ft. in length, located at Leonis Blvd. and Alcoa Ave., Vernon, Calif,; term ten years beginning on the day op which Lessor notifies Lessee that premises are available for occupancy; annual rental to be computed, as follows; (a) 4.5$ upon the sum of $28,422.88> .which sum is computed as land value $25,982.88, plus $2,440 cost of spur track; (b) 7.1$ upon actual cost to Lessor for preparation of plans and specifications and construc­tion of said building and improvements; said annual rental being payable in equal monthly installments in advance; said agreement reserving unto Lessor all minerals and all mineral rights, including oil and gas and rights thereto, -3-
