Mr Wm, Reinhardt 2 May 27, 1954 7. Bill of Sale transferring pipe lines and pumping station referred to in paragraphs (h) to (l) and in paragraph (d) of Section 5 of the Sale Agreement from the Water Company to the District. These documents are transmitted to you for submission to Mr. Stoddard for execution by him. These documents will be delivered to the District in escrow pursuant to the Escrow Instructions which have been approved as to form by all parties concerned except with respect to the amount of the purchase price to be paid. When the amount of the purchase price and the sale date have been definitely agreed to with the District, the Escrow Instructions will be sent to you for transmittal to Mr. Stoddard for execution. Each of the enclosed documents to which the Rail*- road Companies are parties may be executed by the President of the Railroad Companies pursuant to Section 3, Article V, of the LA&SL Bylaws, Section 6, Article V,of the Union Pacific Bylaws and Resolutions of the Executive Committees of said Railroads dated June 30, 1953, authorizing the execution of tlxe Sale Agreement dated June 1, 1953. Each of the enclosed documents to which the Water Company is a party may be executed by the President of the Water Company pursuant to Section 3, Article V, of the Bylaws of the Water Company and Resolution of the Board of Directors of the Water Company dated June 29, 1953* ratifying and approving the execution of the Sale Agreement dated June 1, 1953.
