1 2. The stock ledger or duplicate thereof shall be open daily, eseegst 2 Sundays and holidays, during at least 2 business hours, for inspection 3 by any judgment creditor of the corporation, or by any stockholder «| 4 such corporation, and persons who are -entitled to inspect such etoetc 5 ledger or the duplicate thereof may take extracts therefrom. Every 6 corporation that [sh a ll neglect or refu se] neglects or refutes to Keep 7 the stock ledger or duplicate copy thereof open for inspection, as in 8 this subsection required, shall forfeit to the state the sum of $25 for 9 every day of such neglect or refusal. 10 3. I f any officer or agent of any such corporation [s h a ll] w illfully 11 [neglect or refu se] neglects or refuses to make any proper entry to 12 such stock ledger or duplicate copy thereof, or [sh all neglect or refu se] 13 neglects or refuses to exhibit any such stock leager or duplicate thereof 14 upon demand by a person entitled to inspect the same, or [sh all refuse] 15 refutes to permit extracts to be taken therefrom, as provided in this 16 section, such corporation and such officer [a n d ] o r agent shall [each 17 forfeit and p a y ] be jo in tly and severally liable to tits person injured 18 fo r all damages resulting to him therefrom. 19 4. When the corporation keeps and maintains a statement in the 20 manner provided fo r in paragraph ( d ) o f subeection 1, the inform ation 21 contained thereon shall be given to any judgm ent creditor o f the 22 corporation or to any stockholder o f suck corporation demanding such 23 inform ation, when the despond is made during business hours, jIvory 24 corporation that neglects or refuse^ to keep such statement available, 25 as in this subsection required, shall fo rfe it to the state the mm o f $25 26 f o r every day o f such neglect o r refusal. 27 5. I f any officer or agent o f any such corporation w illfu lly neglects 28 or refuses to keep the statement current arid accurate, or neglects or 29 refuses to give the inform ation contained thereont upon demand, to a SO person entitled to such inform ation, such corporation and such officer 31 o r agent shall be jo in tly and severally liable to the person in ju red fo r 32 a ll damages resulting to him therefrom. 33 [ 4 . ] 6. It shall be a defense, however, to any action for penalties 34 under this section that the person suing has at any time sold, or offered 35 for sale, any list of stockholders of such corporation, or nay other 36 corporation, or haa aided or abetted any person in procuring any such 87 stock list for any such purpose. 38 [5 . ] 7. Nothing contained to this section, however, shall be deemed 39 or construed in anywise to impair the power or jurisdiction of any 40 court to compel the production for examination of the books of a earpo- 41 ration in any proper ease. -L 42 Sec. 2. NKS 78.555 is hereby repealed. 43 Sue. 3. This act shall become effective upon passage and approval.
