% WHEREAS, voider LVL&WCo. Contract Audit No. 10405, dated June 20, 1947, this Company leased to General Motors Corporation (GMC Truck and Coach Division), with option to purchase, certain land, together with warehouse and office building, and portion of spur track to be constructed thereon, Vernon, Calif.; and WHEREAS, under said agreement C. A. 10405, Land Company agreed to construct or cause to be constructed a spur track to serve the leased premises; and WHEREAS, Industry has requested Railroad Company to operate said track during term of said lease, and to maintain and operate said track in event Industry exercises said option; and WHEREAS, Land Company has requested Railroad Company and Railroad Company is willing to maintain said track for term of said lease; THEREFORE, BE IT RESOLVED, that the action of Vice President Stoddard and Assistant Secretary Bachman on behalf of this Company in executing LVL&WCo. agreement Audit No.( 10405-2 (Railroad Company C. A. No. 70826), dated January 31, 1949, between LA&SLRRCo., UPRRCo., LVL&WCo. and General Motors Corporation (GMC Truck and Coach Division), covering the operation and maintenance of said track for term effective November 1, 1947, and continuing thereafter until terminated by either party by 60 days* written notice; and providing further that In event Industry exercises its option to purchase said leased premises and portion of track thereon, Land Company shall thereupon be released as a party to said agreement; be, and the same is hereby, 2
