Rouse 1 I am enclosing four copies of preliminary draft of proposed agreement between the Onion Pacific and the Las Vegas Valley Water District for the sale of the water production and distribution facilities at Las Vegas, Ne­vada. You will notice that the exhibits referred to in the agreement other than the maps are not attached. This is because the surveys which were necessary for the draw­ing of the descriptions have not been completed. The District representatives were anxious to have drafts of the proposed agreement to consider even though they were not entirely complete. I have sent copies to various representatives of the District and have advised them that the draft sent them is not intended as a state­ment of our final ideas, but only as a basis for further negotiations. I am distributing copies of the draft to our various local people who are interested in the matter for their comments* 1 shall appreciate it If you will obtain the comments of the other interested departments at Omaha and furnish them to me with your own. I do not know whether Mr, Stoddard's office will wish to comment on the agree­ment at this time or not, but X believe that Mr, Hulsiz- er and Mr. Sutton at least should review the agreement. X expect to have conferences with the representatives of the District concerning this agreement in the near future and shall appreciate your comments as soon as possible. I call your attention to the various railroad serv­ice lines shown on Exhibit “D" which are connected to the transmission lines to be sold to the District. Xt will be necessary that these lines be disconnected and connect ed to a water system of the Railroad prior to the sale date. Therefore I suggest that you do what you can to see that the LA&SL water appropriation of 2.5 cubic feet per second is transferred to the shop well promptly and that the work which the Railroad will have to do to con­struct its own water system in the shop grounds go for­ward. Xt is Mr. Reinhardt's view that an additional well in the shop grounds should not be drilled prior to the sale date. SCRtMSB Enel.4 E. S. Bennett
