I agree.May 6, 1954 Pile 80-11 Mr. Franklin T. Hamilton O ’Melveny & Myers 433 South Spring Street Los Angeles 13, California Dear Mr. Hamilton: I enclose a suggested draft of escrow Instructions for your consideration. It seems to me that we can work out the details of escrow instructions prior to the time we are able to ascertain and agree upon the amount of money to be paid at the time of the transfer on the sale date, I am circulating these escrow instructions to interested officers within our own company for their suggestions, I think we should have an early conference to discuss them after you have had an opportunity to review the enclosed draft, It will take us considerable time to secure execution of the various documents which we are to deliver to the District through the escrow, I should like to have your approval of the form of the documents before they are sent forward for execution. Therefore I should like to have a preliminary conference with you as soon as possible to discuss the form of the various documents. This should not take much time because the form has largely been agreed to, but there will be some variations because of change in circumstances and because of the necessity of having a cut-off date earlier than the sale date with respect to certain items. Very truly yours, Edward C. Renwiek ECRiMSB Enel,
