INC.. do IMG Speakers, International Merchandising Corporation, 22 East 71st Street, New York, New York 10021 ("Maile") and the UNIVERSITY OF NEVADA AT LAS VEGAS. Consolidated Students, 4505 South Maryland Parkway, Las Vegas, Nevada 89154-2009, Attention: Mr. Aaron Rosenthal, Student Body President ("University"). BACKGROUND University desires to be provided with the services of Greg Louganis ("Louganis") in connection with a lecture at the University on Monday, December 2, 1996; Louganis has assigned these rights to Maile; Maile desires to provide services to University. THEREFORE, for and in consideration of the promises and conditions herein contained, the parties agree as follows: 1. Services. Maile agrees to provide the services of Louganis to University as a guest lecturer on Monday, December 2, 1996, in Las Vegas, Nevada to speak at World Aids Day ("Appearance") Louganis' services on December 2, 1996, will consist of the following: 4:45 - 5:15 p.m. Meet and greet at Planet Hollywood Las Vegas 7:00 p.m. Panel discussion on AIDS on Campus (Louganis is invited but not required to attend) 8:00 p.m. Speech and Question & Answer for approximately 1,800 students and community members on campus 9.00 p.m. Louganis Departs The topic of Louganis' speech will be "Breaking the Surface " In order for Louganis to effectively render his services to University, University agrees to comply with the terms and provisions of the rider attached as Exhibit "A". 2. Authorized Agent. Maile designates IMG Speakers, e/o International Merchandising Corporation, 22 East 71st Street, New York, New York 10021, as its authorized agent for all purposes hereunder All payments, notices and/or submissions to be made or delivered by University hereunder will be deliver ed to the attention of Jamie Tell at that address 3. Past due payments will bear interest at the rate of (i) one and one-half percent (1-14%) per month for each full month they are past due or (ii) the maximum interest rate permissible by law, whichever is less 4. Expenses. In addition to the compensation set forth in Paragraph 3, University agrees to provide or reimburse Maile with coach-class, round trip airline transportation within the continental United States. University will also reimburse Maile for lodging, meals, and ground transportation expenses incurred by Louganis in connection with his services, upon submission of appropriate documentation to University for these expenses. Expenses will be reimbursed only within "University Policy Guidelines", a copy of which shall be supplied to Maile's authorized agent and attached to this Agreement. 5. No Endorsement. University understands and agrees that it will make no use of Louganis* name or likeness which would constitute or amount to an endorsement of any particular institution, company, product, product category or service The foregoing notwithstanding, University may use Louganis* name and biographical material solely for the purpose of advertising and promoting Louganis' Appearance up to and including December 2,1996 (but not thereafter) with such use subject to Maile's prior approval as to specific format aad content, which approval will not be unreasonably withheld. University further understands that nothing contained in this Agreement authorizes the granting of any radio or television rights, nor does University have the right to make or sell, or cause any third party to make or sell in or on any media, any photograph, motion picture film or illustration involving Louganis. In addition, University agrees not to make or sell, or cause any third party to make or sell, any audio or audio/visual recordings of Louganis' Appearance, and University agrees to exercise its reasonable best efforts to prevent others from making any such audio or audio/visual recordings. Still photographs may be used only in a calendar book or yearbook which covers the University lecture series or activities. 6. Indemnification. To the extent permitted by Nevada law, University agrees to indemnify and hold Maile harmless from any and all expenses, damages, claims, suits, actions, judgments and costs whatsoever (including reasonable attorneys' fees and court costs) arising out of or in any way connected with Maile's obligations and Louganis' services provided hereunder. 7. Force Majeure, (a) If Louganis, for any reason beyond his reasonable control such as an illness, injury, unavailability due to job requirements, family or other emergency, inclement weather or act of God, is not able to appear at the Appearance, it is agreed that such non-appearance shall not be a default by Maile and no part of the Fee will be owed to Maile. (b) If Louganis is present at the Appearance but becomes ill, injured (except for||n CSS ,-, ci o or injury caused by University's negligence or misconduct which will not be a force majeure but a -2- oi LD-KK/<H 25599 0 ZP <5O -- CJ O -N COE- Ci i f , NU.1^4 Hd04 09/26/96 breach by University hereunder and actionable under Paragraph 6 above) or required to leave due to a family emergency or other emergency in such a manner as to preclude rendering services substantially in the manner or for the duration contemplated herein, it is agreed that any such non-rendering of services will not be a default by Maile. Under these circumstances, Male will be entitled to reimbursement of expenses and retain a pro-rata portion of the Fee paid to Maile based on the services actually performed by Louganis. (c) If the Appearance is canceled at any time after this Agreement is fully executed due to no fault of Maile, Maile will be entitled to the entire Fee and reimbursement of any expenses outlayed by Maile in anticipation of completing the services contemplated herein.. 8. Confidentiality. University agrees it will not divulge any information relating to Louganis, Maile, IMC, the Fee or the terms of this Agreement during its association with Louganis, Maile and IMC or at any time thereafter without the express permission of IMC except as may be necessary in order to comply with any legal or regulatory requirements. University agrees to forward any inquiries regarding Louganis' services to Jamie Tell at IMG Speakers. 9. Assignability. No party may assign or transfer this Agreement without the prior written consent of the other party. This Agreement binds and inures to the benefit of the parties and their respective legal representatives, heirs, successors and permitted assigns. 10. Choice of Law. This Agreement will be governed by and construed according to the laws of the State of Nevada. 11. Execution Required. This letter will not be considered an agreement or contract nor will it create any obligation on the part of University or Maile until is has been signed by a duly authorized representative of University and of Maile and delivery is made of a fully signed original. Once signed, this letter will constitute the entire understanding and agreement between the parties, and may not be modified, amended or supplemented except by a writing signed by the party to be charged. If the foregoing accurately sets forth our understanding, please sign and date below and return this Agreement to us. A fully executed copy will be returned to you. Please be sure your organization follows these Instructions. \ 1) Hotel accommodations must Include access to a gymnaslum-preferably with Lifecycles and freeweights. Please make arrangements to allow him 2 hours in the gym. Grey's hotel ntust also have a restaurant on-site or room service, and smoking must be permitted in his room. 2) Ifyou are booking Greg's air travel, his preferred airline is American. 3) Please supply a wireless microphone for Greg's speech. He prefers to have quiet time alone Just prior to his speeches in order to give 100% while on stagy! 6) If your agreement features a Q&A session following the speech, please be sure a member of your organization moderates the questions from the audience\ either by placing a microphone In the middle of the auditorium and having questioners line up, or by having an onstage , moderator select the individuals for Greg to address. 7) Be sure to make adequate arrangements for security. Greg's appearances are commonly attended by 1000 people or more. It Is essential that Greg be kept comfortable and not be surrounded by uncontrolled crowds. Greg must be accompanied by two security personnel to and from the stage. Security should also be present at any receptions or additional events. 8) Please be sure that Greg is escorted on and off stage and not left to fend off autograph seekers. There will be an orientation session for the 27th Senate session, time TBA. Invitations for the Senate banquet will be given tomorrow. The Senate needs to vote on the Senator of the Year award later in the meeting. V. Director reports 1. Entertainment and Programming-The UNR tailgate went well. There was approximately 300 student in attendance, and the band was great. Reminded the Senate to get the word out about Homecoming. The next Noon Scene will be this Wednesday, from 11-lp.m. on the Engineering side of the campus. The students from the daycare will be there to enjoy the Noon Scene as well. The band playing will be Epsteins Mother. There is movie this Sunday, Eraser. There will be an E&P board meeting this Thursday at 2:00 p.m. 2. O.S.I.—Elections went well. There was a great voter turnout. The directories are being distributed. They have also been given to the Res. Halls and to the faculty. There were posters distributed at the tailgate this last Saturday promoting CSUN's responsible drinking campaign. 3. Organizations Board-Is working on the next ticket distribution. Is in the process of working on the basketball ticket distribution proposal together. There is an O-Board meeting next week. There were approximately 3,000 tickets given out of the office for the UNR game. 4. Nevada Student Affairs—Debates held yesterday were successful. Next week on Tuesday, at 6:00 p.m. is "Meet the Candidates Night" in the MSU Ballroom. He is working on rescheduling the Ensign/Coffin debate. 5. Student Services-The e-mail computer is going up on Wednesday. He encouraged the Senators to give out the directories. 6. Elections Board—No report. Not in attendance. B. Senate Committee Reports SENATOR AGUERO—Bylaws—Productive meeting today. Next meeting will be next Monday, October 14, at 5:30 in Senate Chambers. SENATOR FLEISCHMAN-Campus Safety & Awareness-Looking into the safety of the shuttles and the conversion of the engines to electrical. Also working on getting shuttle stop signs. C. Faculty Senate Committee Reports SENATOR PERSCH-Code committee met last Friday. Had one item on the agenda, they are done for the semester. D. Business Manager Report There is no business manager at this time. E. CSUN-Residence Hall Liaison Report RHA is now officially involved in World AIDS Day. Their first dance of the year went well, there is another planned for this next weekend. They are looking into expanding their cable channel base. The RHA and Res halls were dismayed to find no voting booth in front of the DC this year, and they are writing to the Elections board. VI. David Turner addressed the Senate and informed them that he is still seeking to reduce the amount of money that CSUN puts into this event every way he can. Nomination for Senator of the Year: SENATOR CAMPBELL, SENATOR CARROLL, SENATOR MOORE, SENATOR, SENATOR FLEISCHMAN. Ballots were filled out and the count was taken. The Senator of the year will be announced at the banquet. IX. EXECUTIVE BOARD ANNOUNCEMENTS AND SUMMATIONS STUDENT BODY PRESIDENT ROSENTHAL-The Board of Regents meeting was held last week, he reviewed the programs and other information that was decided upon. Informed the Senate that they have recommendations for the new Chief Justice, that will be on the next Senate agenda. Announced the Bayno Has Court program, as well as the Meet the Rebels on October 13. SENATOR PEREZ takes personal privilege at 7:36 p.m. SENATE PRESIDENT LAXAGUE-Informed the Senate that the official report from the UNLV Foundation was that they raised $20 million last year for UNLV. The football game was sad. Reminded the Senators that the banquet is October 24, at 6:30 p.m. in the Tam Alumni Building. Glad that the Bylaws committee met, encouraged all of the committees to keep meeting on a regular basis. Looking for new ideas for the next Senate session, please let him know if the Senate has any, he is working on several of his own. X. GOOD OF THE SENATE SENATOR AGUERO-Directors should not have to explain themselves, or apologize if they have to leave a meeting early, they work in the office throughout the week. Elections Director Reed should have been in attendance for the meeting preceding and the meeting following the elections, he is disappointed that Director has not been at the meetings to answer questions regarding the elections. Would like to know where the Director evaluations are, and if this is going to be reflected in the evaluation for Director Reed. SENATOR TRUJILLO- Sorry that he missed the last meeting. Heard that MSU wanted to charge the RHA for use of a room, that should not be happening. Hopes that the next Senate session is as positive as this one has been. Feels that waiving Bylaws is not a good practice for the Senate. SENATOR ATHERLEY—Did not get re-elected and is going to miss the Senate. He plans on staying around to help, and he will return to the Senate. SENATOR ANDERSON— The football game was sad. She is irritated with the election process and incidents that occur during the elections. Also disappointed that she did not see the Elections Director at all during the elections. SENATOR ZUREK— The voter turnout for the elections was great. The football game was embarrassing. SENATE MINUTES 26-31 / NOVEMBER 7, 1996 SENATOR FISK—Was glad to see Ensign come and speak with the Senate. Encouraged the Senate President to keep something in place for the new incoming Senators so that they do not feel lost when they first join the Senate. SENATOR PERSCH-- Agreed with SENATOR AGUERO's comments regarding the presence, or lack thereof, of the Elections Director. SENATOR FLEISCHMAN-The game was sad. She hopes that the new Senators take the time to attend some meetings so that they do not come into the Senate with no idea what to do. Feels that the Senate should look into paying the elections service back for the ballots that exceeded the number that the Senate had projected for the elections ad the estimate. It would be a good idea to institute a $10 litter fee or something like it to deal with the abundance of handbills that are left to litter the campus after the elections are over and candidates do not clean up after themselves. SENATOR MOORE—Glad that the new colleges had such a great turn out of voters in the election. The game was sad but the tailgate was great. Encouraged the Senators to speak in their classes and to push the Meet the Candidates Night. Expressed to the Senate that they should always be ready to know why they voted a certain way and to be ready to defend that vote to anyone. He is working with Senate President Laxague on the new Senator Workshop. Encouraged the senators to speak with Elections board Director Reed before the next meeting. XI. In addition to the compensation set forth in Paragraph 3, University agrees to provide or reimburse Maile with coach-class, round trip airline transportation within the continental United States. University will also reimburse Maile for lodging, meals, and ground transportation expenses incurred by Louganis in connection with his services, upon submission of appropriate documentation to University for these expenses. Expenses will be reimbursed only within "University Policy Guidelines", a copy of which shall be supplied to Maile's authorized agent and attached to this Agreement. 5. No Endorsement. University understands and agrees that it will make no use of Louganis' name or likeness which would constitute or amount to an endorsement of any particular institution, company, product, product category or service. The foregoing notwithstanding, University may use Louganis' name and biographical material solely for the purpose of advertising and promoting Louganis' Appearance up to and including December 2, 1996 (but not thereafter) with such use subject to Maile's prior approval as to specific format and content, which approval will not be unreasonably withheld. University further understands that nothing contained in this Agreement authorizes the granting of any radio or television rights, nor does University have the right to make or sell, or cause any third party to make or sell in or on any media, any photograph, motion picture film or illustration involving Louganis. In addition, University agrees not to make or sell, or cause any third party to make or sell, any audio or audio/visual recordings of Louganis' Appearance, and University agrees to exercise its reasonable best efforts to prevent others from making any such audio or audio/visual recordings. Still photographs may be used only in a calendar book or yearbook which covers the University lecture series or activities. 6. Indemnification.
