N L.D* No EXHIBIT "8* THIS AGREEMENT, mad* this day of 1952, by UNION PACIFIC RAILROAD COMPANY and LOS ANGELES & SALT LAKE RAILROAD COMPANY, corporation* of the State of Utah (here* inafter sometime* called "Union Pacific"), and LAS VEGAS VALLEY WATER DISTRICT, created and existing pursuant to the provision* of Chapter 167 of the 1947 Statute* of Nevada, as amended by Chapter 130 of the 1949 Statutes of Nevada and as amended by Chapter 307 of the 1951 Statutes of Nevada (hereinafter called "District"), WITNESSETHt WATER COMPANY and the District propose to enter Into an agree­ment for the purchase by the District of the distribution sys­tem of the Las Vegas Land and Water Company in the City of Las Vegas and the water production facilities, including land, of the Union Pacific In the City of Las Vegas, to bs conveyed to the District at a time herein referred to as "sale date") and 2, WHEREAS upon completion of eueh negotiatlone the District will have acquired from th* Union Pacific all those lands shown in pink on the map attached hereto, marked Exhibit "A", identified as Engineer*s Drawing No* . and made a part hereof) and 3* WHEREAS in connection with the utilisation of said water production facilities certain pipe lines and pol* lines have heretofore been constructed over the property of the Union Pacific not to be acquired by the District) and 4* WHEREAS it is desirable to both parties to have certain of said pipe lines and pels lines removed or relocat­ed ed from the property of the Union Pacific) Recitals 1* WHEREAS the Union Pacific, the LAS VEGAS U N O AND 1
