\ On motion duly seconded, it was RESOLVED, that the action of President E, H. Bailey and Assistant Secretary S. J. How in executing Bill of Sale C.L.D. No. 15858, executed December 31, 1967 whereby Las Vegas Land and Water Company does sell, assign and transfer in place and in an 4s-is condition, to J. E. Shope and Eva J. Shope, husband and wife, as joint tenants, dba Yermo Water Company, all right, title and interest in and to the following water distribution system at Yermo, San Bernardino County, California; 1. 4,026 lineal feet of 4” pipe with fittings. 2. 3,578 lineal feet of 6” pipe with fittings. 3. Appurtenant fire hydrants. 4. Appurtenant water meters with fittings. Sale being made by Vendor without warranty express or implied; Vendee releases Vendor from any and all liability relating in any manner to the quality or condition of any of the aforesaid water distribution system; Vendee shall indemnify and save harmless Vendor against liability as set forth in Bill of Sale, and in the event any permission, consent or approval is required by any entity of government in connection with this sale, then such permission, consent or approval shall be obtained by Vendee at its sole expense; any tax involving a sales, use or similar tax, such tax shall be paid for by the Vendee; as con­sideration for this Bill of Sale, Vendor shall receive the sum -3-
