THIS AGREEMENT, made the l?th day of March, A. D. 1905, hy and between WALTER JAMES and H E L M R. JAMES, his wife, first parties, and SAN PIERO, LOS ANGELES & SALT LAKE RAILROAD COMPANY, a corporation, second party, WITNESSETH: That, WHEREAS, on the 15th day of February, 1905, an agreement in writing bearing date on that day was executed by said first parties whereby said second party was given the right and option to purchase of and from the first parties, upon the terms and conditions therein stated, certain lands and water rights situate in the County of Millard, State of Utah, and more particularly described in an exhibit attached to said contract and made a part thereof, under the heading “Land at Black Rock to be acquired from Walter James*; and, WHEREAS, the first parties are unable, by reason of not having acquired title thereto, to comply with the terms and conditions of said contract as to the lands described therein situate in the Northwest Quarter of Section 15, Township 24 South, Range 10 West, S.L.B.& M., more particularly described as follows, to-wit: Commencing at a point in the north line of west said Section 15, which point is distant 100 feet from the center line of main track of the said second party as now located and constructed across said section, measured at right angles therefrom; thence in a southwesterly direction along a line, the first part of which is curved and the remainder straight, to a point in the south line of the northwest quarter of said section, said line being parallel to said center line of main track and distant there­from 100 feet measured at right angles therefrom; thence west along the south line of the northwest quarter of said section to a point which is 300 feet distant from said center line of main track measured at right angles theiefrom; thence in a northeasterly direction along a line parallel to and distant 300 feet at right angles from the straight portion of said center line of main track and said center line extended, northerly to a point in the north line of said section; thence east
