Campbell President, Las Vegas Valley Water District 135 South Fourth Street Las Vegas, Nevada Dear Tom: In this morning's mail, I received two copies of letters from Union Pacific under date of June 18, 195^> one letter enclosing "Escrow Instructions" and the other enclosing Amend­ment to Escrow Instructions." .1 believe that the letters, to­gether with their enclosures, have been provided to Harry Miller and Leo McNamee. By copy of this letter, I am providing you, Nelson Conway and Mr. Renshaw with photostatic copies of the letters of June l8th, together with the "Escrow Instructions and the "Amendment to Escrow Instructions." You will note that the "Escrow Instructions" provide that the purchase price is to include any amounts charged by the Land and Water Company to its Investment Account for donations to the Company. The "Amendment to Escrow Instructions excludes the donated items from the purchase price, conditioned.on the close of the escrow by July 1, 195^. Your attention is invited to the fact that the "Amendment to Escrow Instructions does not exclude the value of the donated items completely but provides that the amount of the donated items is to be added to the Purchase Price Adjustment Fund; this is the fund from which adjustments are to be made by reason of additions occurring during the period May 1 to July 1, 195^* The "Escrow Instructions" are substantially the same as the Escrow Instructions heretofore examined and approved by our office and, so far as we are able to ascertain, are satisfactory
