    annually In advance; subject to termination on thirty days' written notice by Lessor, be, and the same is hereby, ratified, approved and confirmed. On motion duly made and seconded, the following resolution was unanimously adopted: WHEREAS, under lease and sale agreement, dated December 21, 1938 (Audit No. 9964), Las Vegas Land and Water Company leased to Citrus Fruit Association of Ontario, fruit packing house and premises, located at San Antonio Avenue and State Street, Ontario, California, for period of ten years, commencing December 12, 1938; and WHEREAS, in connection with Contract Audit No. 4326, dated July 12, 1923, between LA&SLRRCo. and Citrus Fruit As- s gociation of Ontario, under which the Railroad Company con­structed and leased said packing house to said Citrus Fruit Association of Ontario, the Fruit Association, under date of December 31, 1923, assigned to said Railroad Company all moneys to which it might become entitled under Compact No. 3 of the California Fruit Growers Exchange, covering insurance on said premises; and WHEREAS, the ownership of said premises passed to Las Vegas Land and Water Company from said Railroad Company by agreement, dated July 11, 1934; and WHEREAS, it was desired to have said assignment run to the Land and Water Gompany instead of to the Railroad.
