Los Angeles, May 19, 1953 80-12 Mr. W, R. Rouse: I have held up preparing the documents for transfer of the water production facilities of the Railroads at Las Vegas, Nevada, to the LVL&WCompany until the final contract with the Las Vegas Valley Water District reached its final stages and we could see what effect it might have upon the documents relating to the inter-company transfer. I expect to have the contract with the District completed within the next few days to you. for submission I am sending you now copies of the following documents, with respect to which I should appreciate your comments before I furnish Mr. Reinhardt the originals for transmission to Mr. Stoddard as requested in Mr. Stoddard's mailgram to Mr. Reinhardt of March 2 7 th: 1. Deed of water-bearing land from LA&SL to UPRRCo. 2 . Deed of water-bearing land from UPRRCo. to LVL&WCe. 3. Bill of Sale of water production and transmission facilities from LA&SL to UPRRCo. 4. Bill of Sale from UPRRCo. to LVL&WCo. 5. Proposed contract between LA&SL, UPRRCo. and LVL&WCo. I think the documents are drafted so that they can be used regardless of the manner in which the consideration for the transfer will be evidenced. The deed from the LA&SL to the UPRRCo. contains a covenant running with the land restricting the drilling of water wells upon retained lands of the grantor to con-provisions of the proposed agreement with the District.
