Las Vegas Valley Water District 2, December 11, 1952 to make inter-company transfers and to convey the properties to you by any means which they elect which will result in the transfer of title to all of the said properties to you in consideration of the total purchase price mentioned in your letter of December 10, 1952, The obligation which the undersigned may undertake under the formal agreements to convey the said properties to you will be subject to their ability to obtain such approval of applicable governmental authority, including the Nevada Public Service Commission, as may be required* k* The formal agreements between you and the undersigned for the purchase and sale of said property shall provide that all obligations of the undersigned thereunder shall terminate on December 31, 1953, if on or before that date you shall not have paid the full purchase price of said properties to the undersigned or into escrow for delivery to the undersigned when the undersigned shall have conveyed all of said properties to you.
