    f u s VESAS LAND AND WATER COMPANY RESOLUTION SMC Corporation CLD 15812 Industry Track Gji motion duly seconded, it was RESOLVED, that the action of Vice President J. W. Godfrey in executing Industry Track Contract C.L.D. 15812, dated October 12, 1967 between Los Angeles & Salt Lake Railroad Company and its Lessee, Union Pacific Railroad Company, Las Vegas and Water Company, and EMC Corporation, a Delaware corporation, covering maintenance, operation and ownership of industry spur track at City of Industry, Los Angeles County, California, and that in connection with operation of industry track, EMC Corporation is granted license and permission to construct and thereafter maintain and operate gates across said track, in a manner satisfactory to the Railroad Company; that Railroad Company will be indemnified and held harmless in oper­ation of aforementioned gates, which will be equipped with locks; that under conditions stipulated in said agreement, Railroad Company, after giving sixty days written notice, may terminate agreement; be, and the same is hereby ratified, approved and confirmed.
