Rouse 2 October 23, 1952 Jfljm "For the purposes of computing the filing , fees according to the above schedule, the a-mount represented by the total number of shares provided for in the articles of incorporation * or the agreement of consolidation shall be: n(l) The aggregate par value of the shares, if only shares with a par value are therein provided for, or "(2) The product of the number of shares multiplied by ten dollars (#10), if only shares without par value are therein provided for, or "(3) The aggregate par value of the shares with a par value plus the product of the number of shares without par value multiplied by ten dollars (#10), if shares with and without par value are therein provided for." Section $580 requires every foreign corporation to file with the Secretary of State a certificate properly authentiealed by the proper officers of the company des­ignating the agent upon whom legal process may be served, specifying the full name and residence of such agent. Section 1804 requires that every foreign corpora­tion shall on or before the first day of July of each year file with the secretary of state a list of the of­ficers and directors, a designation of Its resident agent in Nevada and a certificate of acceptance signed by the resident agent so designated, said list of officers and \ designations of resident agent to be certified by the president, secretary or other officer of the corpora- t tion. These are the only laws which need be complied with to qualify a corporation. However I call your attention to the fact that Sec­tion 1844 requires every foreign corporation to publish annually, on or before the month of March, a statement of its last year’s business in a newspaper of general circulation.
