Section $580 requires every foreign corporation to file with the Secretary of State a certificate properly authentiealed by the proper officers of the company designating the agent upon whom legal process may be served, specifying the full name and residence of such agent. Section 1804 requires that every foreign corporation shall on or before the first day of July of each year file with the secretary of state a list of the officers and directors, a designation of Its resident agent in Nevada and a certificate of acceptance signed by the resident agent so designated, said list of officers and \ designations of resident agent to be certified by the president, secretary or other officer of the corpora- t tion. These are the only laws which need be complied with to qualify a corporation. However I call your attention to the fact that Section 1844 requires every foreign corporation to publish annually, on or before the month of March, a statement of its last year’s business in a newspaper of general circulation.
