Dear Sir: It has been observed that the Board of Directors of Los Angeles & Salt Lake Railroad Company at the September 15 meeting appointed Messrs. Leete and Smith as proxies for annual meeting of Las Vegas Land & Water Company to be held in Los Angeles on November 14. It is appreciated, of course, that this action was proper under the by-laws, as well as necessary because of the lack of a quorum of the Executive Committee in New York at that time. It is the practice, however, with respect to the main Union Pacific Companies and their various subsidiary corporations for the Executive Committee sto name proxies to represent the companies’ stockholdings at annual meetings. The naming of these proxies by the Executive Committee is preceded by an inquiry initiated by the Secretary in New York and addressed to this office soliciting the nomination of persons to be appointed as proxies. After the Committee has acted the proxies are transmitted through this office to one of the persons named therein. In answering communication from New York office on this subject I have stated that it is understood the above outlined procedure will be observed in future. Yours very truly,% /
