\ -3- Upon exercise of option, Peirce Carpet or its nominee, prior to delivery of deed, shall enter into agreement with Los Angeles and Salt lake Railroad Company and its Lessee, Union Pacific Railroad Company, for construction, maintenance, operation and ownership of a spur track to serve the option parcel. Peirce shall not assign this agreement without consent of Land Company, and all terms and provisions of agreement shall inure to the benefit of successors and assigns, be and the same is hereby ratified, confirmed and approved.
