SHERWOOD, Secretary of Onion Pacific Railroad Company, do hereby certify that the above ana foregoing is a true copy of preamble and resolution duly adopted by the Executive Committee of the Board of Directors of Onion Pacific Railroad Company at a regular meeting of said Executive Committee held at the office of the Company in the City and State of New fork on the 30th day of June, 1953* at which a quorum was present.
