    \ In connection with the proposed construction by the State of Nevada of a freeway in the Las Vegas area, it will be necessary that certain Las Vegas Valley Water District pipelines be relocated. The pipelines are located upon Railroad property pursuant to Grants of Easements identified as Deed Audits 5385 and 5352. Of immediate con­cern is the relocation of the two pipelines within the proposed free­way interchange area. For such relocation the State of Nevada has requested that we grant easements direct to Las Vegas Valley Water District in the locations shown in green tint on the attached map. The State has further requested that we proceed immediately with the granting of these easements as the pipelines must be relocated before freeway construction can commence. As you are aware, the State of Nevada has made no proposal toward acquisition of Railroad property for the proposed freeway. We have had several conferences with the State concerning principally matters of construction, drainage, and access, but have not as yet reached the point of entering negotiations for acquisition by the State of the necessary right of way. At the present time the State has hired two independent appraisers whose reports are scheduled to be submitted to the State on or before July 31, 1964. After the State has reviewed these appraisals, it will probably be in a position to negotiate for acquisition of the freeway right of way. It is the State's position that the granting of the above easements will have no bearing whatever on its negotiations for acqui­sition of right of way necessary for the freeway. It further contends that there should be no consideration for the requested easements as there will simply be an exchange of easement areas and that any amount which might be charged for such easements would be offset by a reduction in value of the freeway right of way by reason of the existing easements within such right of way. In taking this position it appears the State is merely resorting to simple arithmetic rather than using sound valu­ation principles. It is my view that we should obtain market value
