    declared that the entire authorized and outstanding share® of oapital stock of this corporation was present and represented at the meeting. The following proceedings were then had and business transacted: Minutes of annual stockholders' meeting held lovewber 12th, 1928, were read and approved. Chairman then announced that the next business would be the election of six Directors of the corporation, to aet for the ensuing year. Thereupon, the following ©orsons were nomin­ated to serve as such Directors: 0. i* Cray i* Haleted F. H. Knickerbocker 0. C. Barry Visiter B. Bracken R. 1. Adamson which nomination was duly seconded* There being no further nominations, a ballot was token and Inspector having computed the votes oast, retorted that 50Q shares of stook, being all of the stock present in person or by proxy at the meeting, had been east for each of the above named persons for Directors. There­upon the Chairman declared: C, a. Cray A* S* Hoisted f, H. Knickerbocker C. 0. Barry halter H. Bracken B. 1. Adamson duly and regularly elected to serve this corporation as Directors for the ensuing year. The Secretary was then directed by Chairman to present for inspection by the stockholders the records and proceedings of the Board of Directors of the Company since date of its last meeting, which was done. On motion duly made, seconded and carried, the follow­ing resolution was adopted: ? RKaOLYS&t That the acts and proceedings of the Board of Directors of this Company, as recorded in the records thereof, and all of the act© and doings of the officers of the Company, done in pursuance of said orders of the Board of Directors since the date of the last meeting of Stockholders of this Company, are hereby, ratified, approved and confirmed.
