(a) including such lands and interests under said agreement; (b) agreeing with said Oil Company that no further act or authority is required of said Land Company in any matter pertaining to said agreement, and that said agreement may be altered, amended or terminated by said Union Pacific in behalf of said Land Company without said Land Company joining therein, and that said Oil Company need look only to Union Pacific or its representatives in any matter coming under said agreement or in the performance thereunder; be, and. the same is hereby, ratified, approved and confirmed. On motion duly seconded, it was RESOLVED, that the President or a Vice President and the Secretary or an Assistant Secretary, be, and they are hereby, authorized to execute, attest and deliver upon behalf of this Company, deed quitclaiming to Union Pacific Railroad Company, in consideration of the sum of $10,00 and other good and valuable consideration, all its right, title and interest in and to Lots 2 and 5 in Tract 7207, and Lot 1 in Tract 7777, at East Los Angeles in the County of Los Angeles, State of California, including improvements located thereon; RESOLVED FURTHER, that the President or a Vice President and the Secretary or an Assistant Secretary, be, and they are hereby, authorized to execute, attest and deliver such documents as may be necessary to assign to said Union Pacific Railroad Company all contracts of sale, leases and other interests of this Compapy in and to said parcels of land. -2-
