FIRST; That the name of said Corporation i s :
OPERATION OPPORTUNITIES-CLARK COUNTY, NEVADA.
SECOND: That th is corporation s h a ll not be operated fo r a p r o f it.
T h a ,t ’t h e purpose fo r which said corporation is formed, and the
nature of the objects proposed to be tra n sa cted and c a rrie d on by i t are;
1- To act as the sole and exclusive agency fo r Clark County, Nevada,
in the capacity of;
(a) A county-wide Planning Board fo r coordinating a l l possible
human and fin a n c ia l resources in presenting economic o p p ortunities fo r the
c itiz e n s of Clark County, Nevada under the fe d e ra l government's program
esta b lish ed by the Economic O pportunities Act of 1964.
A county-^ide Screening Board fo r evaluating and screening
a l l applications of any esta b lish ed group or asso cia tio n fo r funding
p ro je cts under the fe d e ra l government's program estab lish ed by the Economic
O pportunities Act of 1964.

2* ?er ^o :ra i a n y functions contemplated by the Economic O pportunities
Act of 1964 in furtherance of the following purposes of said a c t:
(a) Expand o p p ortunities fo r youths to gain the education s k ill s
and experience they must have to become f u l l p a rtic ip a n ts in our so cie ty
and stab le parents in years to come.
(b) Stimulate our communities to initiate local action programs
to attack the roots of poverty.
(c) Help enroll families now destitute to increase their income
through a program of small capital grants and loans.
(d) Provide a^eunder base for the rehabilitation of the poor areas
of our great cities of Clark County, Nevada, by deserving and expanding
small business activities.
(e) Provide special programs for undereducated adults and migrant
agricultural workers.
(f) Encourage more citizens to use public assistance as an instrument
for helping families lift themselves out of poverty.
(g) Recruit and train volunteers who •'will help carry out the war
on poverty.
3- To have all powers enumerated in Nevada Revised Statutes 81.3f>0 through
8l.l4.OO inclusive.
FOURTH; This corporation shall not have capital stock,but rather, may issue
membership certificates to each member. Membership shall consist of any corporation,
association, firm, public agency, or individual whose purposes or interests are in
accordance with the purposes of the Economic Opportunity Act of 19611. Membership
shall include, but shall not be limited to the following representative interests and
agencies: schools, welfare, health, voluntary agencies, Board of Commissioners of
Clark County, Nevada, City Council or Commissions of Las Vegas, North Las Vegas,
Henderson, and Boulder City, Nevada, labor and business.
FIFTH: The principal office is to be located at 70I4 South Sixth Street,
P. 0. Box 760, Las Vegas, Nevada.
SIXTH: The term of existence of this corporation shall be perpetual existence

SEVENTH; The voting power and the rights and interests of each member of
this corporation shall be equal.
EIGHTH; The members of the governing body shall be styled Trustees and
the number of Board of Trustees shall be not less than ten nor more than forty. The
names and post office addresses of the first Board oi Trustees is as follows;
