AN ACT to amend NRS section 78.105, relating to the duty of a private corporation to keep copies of articles and bylaws and a stock ledger, or duplicate thereof, or statement at its principal office in this state, by providing for availability of information in such statements and providing penalties for the failure to maintain a statement; to repeal NRS section 78.555 relating to the merger of certain railroad and bridge corporations: and providing other matters properly relating thereto. The People of the Plate of Nevada, represented in Senate and Assembly, do enact as follow s: 1 S e c t io n 1. NRS 78.105 is hereby amended to read as follows: 2 78.105 1. Every corporation shall keep and maintain at its princi- 3 pal office in this state: 4 (a ) A certified copy of its certificate of incorporation or articles of 5 incorporation, and all amendments thereto: and 6 (b ) A certified copy of its bylaws and all amendments thereto; and 7 (c ) A stock ledger or a duplicate stock ledger, revised annually. 8 containing the names, alphabetically arranged, of all persons who are 9 stockholders of the corporation, showing their places of residence, if 10 known, and the number of shares held by them respectively; or 11 (d ) In lieu of the stock ledger or duplicate stock ledger specified in 12 paragraph (c ), a statement setting out the name of the custodian of 13 the stock ledger or duplicate stock ledger, and the present and corn- 14 plete post office address, including street and number, if any, where 15 such stock ledger or duplicate stock ledger specified in this section is 16 kept.
