THIS AGREEMENT mad© and entered into this ______ day of _____________, 1952, by and between BASIC MANAGEMENT, INC., a corporation organized and existing under the laws of the State of Nevada (hereinafter re­ferred to as WBMIW) and LAS VEGAS VALLEY WATER DISTRICT, a publio oorporation organized and existing under the laws of the State of Nevada (hereinafter referred to as the "Water District”), acting In pursuance of certain acts of the Legislature of Nevada, being Chapter 167, Statutes of Nevada, I9IJ.7, and acts amendatory thereof and supplementary theretoj W I T N E S S E T H : 2. WHEREAS, during World War,II, in conjunction with the construction of Basic Magnesium Plant, sometimes known as Plancor 201, certain water facilities (sometimes hereinafter referred to as ’'Water Facilities”) were con­structed and owned by or on behalf of the federal govern­ment to supply and distribute water to said plant and the nearby townsite of Henderson, Nevada, said water facilities consisting generally of an intake, transmission line,
