The Chairman thereupon declared that #6- shares, or a majority of the authorised and outstanding shares of the capital stool of said corporation wars present end represented at the meeting, The following proceedings were then had and business transacted; The minutes of annual, stockholders* meeting held on Hovember 9th, 1936, were read and approved, The Chairmen then announced that the next business would be the election of sir directors of the corporation, to act for the ensuing year. Thereupon Mr,Barry nominated the following persons to serve as such directors; E. E. Calvin A. S. Halste d WF.* RH.. BKrnaicckkeenrbocker K. 0. Mann 0, 0, Barry which nomination was duly seconded by Hr. Halsted. There being no further nominations, a ballot was taken, and the Injector, having computed the votes taken, reported that 496 shares of stool, being all of the stock present in person or by proxy at the meeting, had been cast for each of the above named persons for director. Thereupon the Chairman declared; AS.. I3.. CHaallvsitne d Uw, RH,. KBrnaicckkeenrbocker H, C. Mann, and 0, C, Barry duly and regularly elected to serve this corporation as directors for the ensuing year. The records and proceedings of the Board of directors of the Company since the date of the last annua! meeting of stool* holders were presented to the meeting and laid upon the table, open to the Inspection of the stockholders* Mr. 0. C. Barry introduced the following resolution and * 3* moved its adoption;
