    and Lessee shall pay to Land Company interest thereon at rate of five per cent (57®) per annum until termination of agreement; Lessee not to sublet or assign lease without written consent of Land Company; and that Lessee shall enter into an Industry Track Agreement with Lessor and with the Los Angeles & Salt Lake Rail­road Company and its Lessee, Union Pacific Railroad Company; Lessee shall at its own expense make all repairs to the leased premises and maintain the existing building and improvements in good condition, with the following exceptions: (a) Ordinary wear and tear® (b) Lessor shall maintain the spur track on leased premises, and keep the roof in good repair, make all exterior repairs and improvements, provide lateral support and make all structural repairs and replacements; Lessor shall have no duty to repair exterior door and windows, including glass; Lessee will indemnify and hold harmless the Land Company from and against any liability to any person for personal injury or death or for damage to property sustained while on leased premises; agreement may be terminated by sixty (60) days advance written notice by either Lessor or Lessee; be, and the same is hereby ratified, approved and confirmed® On motion duly seconded, it was RESOLVED, that the action of Vice President T.
