Maag copy of enclosure to each) I enclose two copies of proposed escrow instructions relating to the sale of the Las Vegas water system to the District. You will notice that the escrow instructions assume that the transfer will be made on July 1, 1954, up­on payment to the Water Company of a Preliminary purchase price representing the price of the properties as of Ap­ril 30, 1954, computed as provided in Sections 8, 9 and 10 of the Sale Agreement, The escrow instructions also provide for the fixing of an estimated purchase price, which is Intended to be the ultimate purchase price which will be paid as of the sale date. The escrow provides for the retention in escrow of the difference between the Pre­liminary purchase price and the Estimated purchase' price until the accounting for adjustments in the purchase price from May 1, 1954, to the sale date has been completed. The dates used in the escrow instimetions are only tentative, and if it is possible for us to complete the accounting and for the District to audit and agree to price adjust­ments to a later date than April 30, 1954, the figures representing the latest date should be used* These escrow instructions have been sent to Mr,Frank­lin Hamilton, one of the attorneys for the District, for his consideration with advice that they are tentative on­ly and are subject to the comments of other officers in our companies. We expect to confer very soon with Mr, Hamilton for the purpose of placing the escrow instruc­tions in final form* Therefore I shall appreciate receiv­ing promptly any suggestions from persons to whom copies of this letter and the escrow instructions are being sent for changes in or additions to the instructions. Will Mr. Sutton also please furnish me an estimate of the purchase price as of July 1, 1954. This estimate
