    The Amendments to the original Escrow Instructions herein made are made upon the conditions (1) That on July 1, 1954, you have completed the transfer of the Las Vegas water system to the Las Vegas Valley Water District and have paid the preliminary purchase price of $2,299*029.64 to the Las Vegas Land and Water Company by carrying out the provisions of Paragraphs IV and VI of the original Escrow Instructins herein amended, and that the terms of the original Escrow Instructions have otherwise been complied withj or (2) That i f you have not completed thesaid transfer on July 1, 1954, said failure was due solely to the failure of the Sellers to comply with the terms of the original Escrow instructions as herein amended, and that you complete the said transfer promptly after the Sellers have complied with the terms of said Escrow Instructions so as to enable you to complete the said transfer in accordance with the original Escrow Instructions as herein amended.
