O’Melveny & Myers 433 South Spring Street Los Angeles 13, California Dear Frank: Re: Union Pacific—Las Vegas Valley Water District Contract, Your File B 2805_____________ On July 31, 1953» the Los Angeles & Salt Lake Railroad Company conveyed to the Union Pacific Railroad Company, and on the same date the Union Pacific Railroad Company conveyed to the Las Vegas Land and Water Company, the land and water production, storage and transmission facilities owned by the Railroad Companies which will be sold to the Las Vegas Valley Water District under the provisions of the agreement dated June 1, 1953. The deed from the Los Angeles & Salt Lake Railroad Company to the Union Pacific Railroad Company contained a covenant restricting the drilling of water wells in the form of the covenant contained in Exhibit "B" attached to the contract and was recorded as Instrument No, 410280 in the office of the County Recorder of Clark County, Nevada, July 31, 1953. The deed from the Union Pacific Railroad Company to the Las Vegas Land and Water Company contained a covenant similar to Exhibit "B-l" attached to the above mentioned agreement and was recorded as Instrument 410281 on July 31, 1953.
