Hamilton O'Melveny & Myers 433 South Spring Street Los Angeles 13, Califomnia Dear Frank* I am enclosing a rough draft of revised form of purchase and sale contract so that we shall have something definite to discuss when we have our preliminary conference this week. 1 am also sending you a rough draft of Exhibit *'F", which will furnish you with ray ideas of what should be contained in the easements to be granted by the Railroad Companies for the pipe lines across their lands. With the exception of the maps I believe the text of the draft will indicate the nature of the exhibits to be attached. The only change on Exhibit "A” is extending a red line south­erly from point J to point marked 00 near the northerly bound­ary of the Texas Company plant adjacent to Main Street. The map formerly referred to as Exhibit "C" should be identified as Ex­hibit "D“ and the map formerly identified as Exhibit "D" should be identified as Exhibit "H". The latter exhibit should have a number 15 enclosed in a red circle at the point where the Rail­road pipe line shown by red line joins the two yellow lines serving the Texas Company and Roach Construction Company plants in the southeasterly comer of the map indicating a connection which will be removed. 2 2 can't do any more concerning the form of bill of sale and conveyance of rights of way for the distribution system until I receive your ideas on these subjects in concrete form. Mr. Powell has sent me a suggested form of covenant running with the land which 2 am considering.
