Assistant General Solicitor Union Pacific Railway Company i+22 West Sixth Street Los Angeles ll|, California Dear Ed: The purpose of this letter is to point out certain additional changes of a minor nature which should be made in the contract. These have been discussed with Mr. Bennett and he has agreed to the same. The first problem was raised by your tax man and relates to the form of the covenant contained in Exhibit ”B”, page ij.. Your tax man pointed out that the language imposing the covenant against drilling is broad enough to cover both the benefited and the burdened lands. I called the matter to Mr. Powell*s attention and he feels that it may be desirable to clarify the language of said covenant by adding the following after the word ’’Grantor” in line 5# page Ij. of Exhibit ”B”: ’’and not hereby conveyed.” The addition of this clause should remove any question concerning the extent of the covenant. The other matter relates to Exhibit ”G”, which lists various maps, documents, etc., to be turned over. You will recall that at our last meeting Mr. Adamson indicated that it would be impractical to turn over any field books on the water system, since the notes contained in the field books were intermingled with other engineering data of the land and water company. I discussed this matter with Mr. Montgomery and he concurs in Mr. Adamson*s belief.
