If the ledger value on the sale date of the automotive, shop and other equipment, materials and supplies transferred to the District by Las Vegas Land and Water Company exceeds the ledger value of such property owned by said Company on September 1, 1952, the excess shall be added to the basie purchase price. If the ledger value on the sale date of such property is less than the ledger value as of September 1,1952, the difference shall be deducted from the basic purchase price It is also understood that the final contract for the purchase and sale of the properties referred to in Section 1 hereof shall provide for the disposition of the amounts standing on the books of the Las Vegas Land and Water Company on the sale date in such accounts as Accounts Receivable, Accounts Payable, Advance Payment of Water Rental, etc., and will further provide for adjustments in the basic purchase price by reason of the disposition of the amounts in said accounts. 6. It is farther understood that Las Vegas Land and Water Company has outstanding contracts whereby certain sub-dividers or applicants (a) have deposited sums of money with it as advances for the construction of water mains, or (b) have at their own expense constructed and conveyed to Las Vegas Land and Water Company water mains Union Pacific, et al. 10, December 10, 1952
