W m V r ? ; y* Mr. Thomas A. Campbell §« April 20, &$$& ties will know aa soon as possible whether the District agrees to this figure so far as expenditures and eredlts on and prior to January 31# 19$**# are concerned. 2 am also suggesting that you and your attorneys advise me whether the District is agreeable to the suggestion that the transfer of the water system be made in escrow by the payment of an estimated sum of money which will represent as nearly as possible the ultimate purchase price. This figure would have to be not less than an exact figure which all parties could agree to as representing the purchase price as of a definite date at which accounting for prior expenditures had been completed. This minimum figure could be $2,297# 116.14 or some figure representing the purchase price at a later date at which accounting; had been completed and approved by the District plus an estimated amount to represent expenditures made between the agreed date and the sale date. With such a figure agreed to the escrow could provide for an adjustment after the sale date with respect to the actual amount of expenditures made and credits accrued subsequent to the date upon Which all accounting had been completed and approved by the District. 1 shall appreciate it if you and Mr. Beebe will let me have your reactions to the suggestions contained in this letter. Very truly yours, £?£/*: Tijsd K. E. Bennett Enel.2 co - Hr. James L. Beebe O ’Helveny & Myers 433 South Spring Street Dos Angeles 13, California with one copy of enclosure
