taken from time to time (4) issuance of opinbns upon valiity of the bonds if authorised. Included in the bond proceedings, of course, is whatever study of statute and case law, of proceedings for the organisation of the District, and proceedings taken by the Board of Directors as is necessary for the drafting of the bond proceedings and the supervision of the various steps taken in the issuance of the bonds. Not included in the bond proceedings is advice and service upon such work as the following: 1. Contract with the proper agency or agencies of the Unfed States for the acquisition of the water main extending from Lake Mead to the Basic Magnesium Plant by the District. 2. Obtain!ag for the District water rights to wters impounded in Lake Mead. 3. Contract or grant in aid of construction, or both, for the District to supply water to the Army air field. 4. Examination of the Act under which the District has been organized for possible defects and the drafting of any amendments which the Board of Directors of the District may deem desirable. $« Such other service, advice or opiribns upon other District matters as may be requested by the Board of Directors. Our fee for all work done in the bond proceedings is to be 1/5 of \% of the total principal amount of the bond issue, payable one-half upon the canvass of the vote cast at the election and, if the bonds carry, the balance upon the Sale of bonds. If the bonds are sold in installments, the balance of the fee would be prorated to each block sold. Tou are paying us a retainer of 41,000 to be applied upon the work we do for you exclusive of work upon the bond, proceedings. The fees, of course, do not include our out of pocket disbursements, if any, for telephone and telegraph chages or trips to las Vegas. Disbursements for such expenses will be billed you from time to time in the usual way. So that the work may begin without delay, you are sending us a copy of the Mater District Att as amended to date, and a map of the District. To get acquainted with your plans, I expect to arrange my work so as to spend a day in Las Vegas either next week of the week beginning August 21, at which time we can go over your program and discuss the ways and means of accomplislfcig your purposes.
